1. Acceptance of Terms
By accessing or using raxe.ai, RAXE products, or any RAXE services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
2. Description of Services
RAXE provides runtime AI security products including:

- RAXE Gateway — Network-layer AI traffic inspection and policy enforcement.
- RAXE Intelligence — Threat research, detection signatures, and security advisories.

All RAXE products process data locally within your infrastructure. We do not access, store, or transmit your prompts, model inputs, or application data.
3. Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Services to develop competing security products that substantially replicate RAXE detection capabilities.

- Redistribute commercial detection signatures or threat intelligence data without authorisation.
- Use the Services to facilitate attacks against AI systems or circumvent security controls.

- Interfere with or disrupt the Services or servers and networks connected to the Services.
4. Accounts & Access
Certain Services may require account registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You agree to notify us immediately of any unauthorised use of your account.
Enterprise licence keys and API credentials are issued per-organisation and may not be shared across organisational boundaries without written consent.
5. Intellectual Property
The Services, including but not limited to detection signatures, threat research, documentation, software, trademarks, and website content, are the intellectual property of RAXE, Inc. and are protected by applicable intellectual property laws.
Community Edition: RAXE Community Edition is licensed under its respective open-source licence. The terms of that licence govern your use of Community Edition software.
Your Data: You retain all rights to your data. RAXE products process your data locally and do not acquire any ownership or licence to your content.
6. Payment & Subscription
Paid Services are billed according to the pricing plan selected. Unless otherwise stated in an enterprise agreement:
- Subscription fees are billed in advance on a monthly or annual basis.
- All fees are non-refundable unless otherwise required by law.
- We may change pricing with 30 days advance notice.

7. Disclaimer of Warranties
The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. RAXE specifically disclaims all implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
While we strive for comprehensive threat detection, no security product can guarantee detection of all threats. RAXE does not warrant that the Services will be uninterrupted, error-free, or that all security threats will be detected.
8. Limitation of Liability
To the maximum extent permitted by law, RAXE, Inc., its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, business opportunity, or goodwill, arising out of or in connection with your use of the Services.
RAXE's total aggregate liability for all claims arising out of or related to these Terms or the Services shall not exceed the amount paid by you to RAXE during the twelve (12) months preceding the claim.
9. Indemnification
You agree to indemnify, defend, and hold harmless RAXE, Inc. and its affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.
10. Termination
Either party may terminate access to paid Services with 30 days written notice. RAXE may immediately suspend or terminate your access if you violate these Terms.
Upon termination:
- Your licence to use commercial RAXE products will end.
- Your right to use Community Edition under its open-source licence continues regardless.
- Since RAXE does not store your data, there is nothing for us to delete from our systems.
- Sections 5, 7, 8, 9, and 11 survive termination.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions.
Any disputes arising from these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, with proceedings conducted in English.

We may update these Terms from time to time. Material changes will be communicated with at least 30 days notice via the website or email. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
